{"id":15899,"date":"2014-11-05T19:25:37","date_gmt":"2014-11-06T00:25:37","guid":{"rendered":"https:\/\/www.saratoga.com\/saratogabusinessjournal\/2014\/11\/globalfoundries-acquires-ibm-microchip-fabrication-business-in-15-billion-deal.html"},"modified":"2014-11-05T19:25:37","modified_gmt":"2014-11-06T00:25:37","slug":"globalfoundries-acquires-ibm-microchip-fabrication-business-in-15-billion-deal","status":"publish","type":"post","link":"https:\/\/www.saratoga.com\/saratogabusinessjournal\/2014\/11\/globalfoundries-acquires-ibm-microchip-fabrication-business-in-15-billion-deal\/","title":{"rendered":"GlobalFoundries Acquires IBM Microchip Fabrication Business In $1.5 Billion Deal"},"content":{"rendered":"<div class=\"img-left\">\n<div><img loading=\"lazy\" decoding=\"async\" alt=\"rsz_global-ibm.jpg\" src=\"https:\/\/www.saratoga.com\/saratogabusinessjournal\/wp-content\/uploads\/sites\/48\/2014\/11\/rsz_global-ibm.jpg\" class=\"alignleft\" height=\"216\" width=\"300\" \/>\n<\/div>\n<div class=\"img-caption\">IBM researcher Jerry Chow works on semiconductor materials at one of the plants acquired by GlobalFoundries in a move that strengthens the latter&#8217;s presence in the Northeast\n<\/div>\n<\/div>\n<p>IBM and GlobalFoundries in late October<br \/>\nannounced an agreement under which GlobalFoundries<br \/>\nplans to acquire IBM&#8217;s global<br \/>\ncommercial semiconductor technology<br \/>\nbusiness, including intellectual property,<br \/>\ntechnologists and technologies related to<br \/>\nIBM Microelectronics, subject to completion<br \/>\nof applicable regulatory reviews.<\/p>\n<p>IBM is paying $1.5 billion to GlobalFoundries<br \/>\nin order to get rid of its chip division.<\/p>\n<p>GlobalFoundries will also become IBM&#8217;s<br \/>\nexclusive server processor semiconductor<br \/>\ntechnology provider for 22 nanometer<br \/>\n(nm), 14nm and 10nm semiconductors for<br \/>\nthe next 10 years, IBM officials said in a<br \/>\nnews release.<\/p>\n<p>The agreement, once closed, enables<br \/>\nIBM to further focus on fundamental semiconductor<br \/>\nresearch and the development<br \/>\nof future cloud, mobile, big data analytics,<br \/>\nand secure transaction-optimized systems,<br \/>\nthe company said. IBM continues its previously<br \/>\nannounced $3 billion investment over<br \/>\nfive years for semiconductor technology<br \/>\nresearch to lead in the next generation of<br \/>\ncomputing.<\/p>\n<p>Officials said GlobalFoundries will have<br \/>\nprimary access to the research that results<br \/>\nfrom this investment through joint collaboration<br \/>\nat the Colleges of Nanoscale<br \/>\nScience and Engineering, SUNY Polytechnic<br \/>\nInstitute in Albany.<\/p>\n<p>As part of this agreement, GlobalFoundries<br \/>\nwill gain substantial intellectual property<br \/>\nincluding thousands of patents, making<br \/>\nGlobalFoundries the holder of one of the<br \/>\nlargest semiconductor patent portfolios in<br \/>\nthe world. Officials said GlobalFoundries<br \/>\nalso will benefit from an influx of one of<br \/>\nthe best technical teams in the semiconductor<br \/>\nindustry, which will solidify its path<br \/>\nto advanced process geometries at 10nm<br \/>\nand below.<\/p>\n<p>Additionally, the acquisition opens up<br \/>\nbusiness opportunities in industry-leading<br \/>\nradio frequency (RF) and specialty technologies<br \/>\nand ASIC design capabilities, said<br \/>\nIBM.<\/p>\n<p>&#8220;This acquisition solidifies Global-<br \/>\nFoundries&#8217; leadership position in semiconductor<br \/>\ntechnology development and<br \/>\nmanufacturing,&#8221; said Dr. Sanjay Jha, CEO<br \/>\nof GlobalFoundries. &#8220;We can now offer our customers a broader range of differentiated<br \/>\nleading-edge 3D transistor and RF technologies,<br \/>\nand we will also improve our design<br \/>\necosystem to accelerate time-to-revenue<br \/>\nfor our customers. This acquisition further<br \/>\nstrengthens advanced manufacturing in the<br \/>\nUnited States, and builds on established<br \/>\nrelationships in New York and Vermont.&#8221;<\/p>\n<p>&#8220;The agreement expands our longstanding<br \/>\ncollaboration, which began when Global-<br \/>\nFoundries was created in 2009, and reflects<br \/>\nour confidence in GlobalFoundries&#8217; capability,&#8221;<br \/>\nsaid IBM Senior Vice President and<br \/>\nDirector of Research Dr. John E. Kelly III.<\/p>\n<p>&#8220;This acquisition enables IBM to focus on<br \/>\nfundamental semiconductor and material<br \/>\nscience research, development capabilities<br \/>\nand expertise in high-value systems, with<br \/>\nGlobalFoundries&#8217; leadership in advanced<br \/>\ntechnology manufacturing at scale and<br \/>\ncommitment to delivering future semiconductor<br \/>\ntechnologies. We are grateful for the<br \/>\nleadership and investments by the states<br \/>\nof New York and Vermont in supporting the<br \/>\nsemiconductor industry.&#8221;<\/p>\n<p>According to the companies, the acquisition<br \/>\nbolsters semiconductor manufacturing<br \/>\nand technology development in the United<br \/>\nStates. GlobalFoundries has capital expenditure<br \/>\nplans of approximately $10 billion in<br \/>\n2014-2015, with the majority being invested<br \/>\nin New York. GlobalFoundries has created<br \/>\nnearly 3,000 direct jobs in New York and<br \/>\nthousands more indirect jobs in the United<br \/>\nStates since 2009.<\/p>\n<p>GlobalFoundries will acquire and operate<br \/>\nexisting IBM semiconductor manufacturing<br \/>\noperations and facilities in East Fishkill,<br \/>\nN.Y., and Essex Junction, Vt., adding capacity<br \/>\nto serve its customers and thousands of<br \/>\njobs to GlobalFoundries&#8217; workforce.<\/p>\n<p>GlobalFoundries said it plans to provide<br \/>\nemployment opportunities for substantially<br \/>\nall IBM employees at the two facilities who<br \/>\nare part of the transferred businesses,<br \/>\nexcept for a team of semiconductor server<br \/>\ngroup employees who will remain with IBM.<\/p>\n<p>After the close of the transaction, Global-<br \/>\nFoundries will be the largest semiconductor<br \/>\ntechnology manufacturing employer in the<br \/>\nNortheast.<\/p>\n<p>GlobalFoundries will also acquire IBM&#8217;s commercial microelectronics business,<br \/>\nwhich includes ASIC and specialty foundry,<br \/>\nmanufacturing and related operations and<br \/>\nsales. GlobalFoundries said it plans to invest<br \/>\nto grow these businesses.<\/p>\n<p>IBM said it will reflect a pre-tax charge<br \/>\nof $4.7 billion in its financial results for the<br \/>\nthird quarter of 2014, which includes an asset<br \/>\nimpairment, estimated costs to sell the<br \/>\nIBM microelectronics business, and cash<br \/>\nconsideration to GlobalFoundries. The cash<br \/>\nconsideration of $1.5 billion is expected to<br \/>\nbe paid to GlobalFoundries by IBM over the<br \/>\nnext three years.
